These Terms of Use ("Terms") govern your access to and use of the Invoice Partner website, the web app at invoice.partner.shrynshjn.com, the Invoice Partner mobile app and the API behind them (together, the "Service"), operated by Shreyansh Jain ("we", "us"). If you create an account, the User Agreement also applies, and the Privacy Policy explains how we handle data. By using the Service you agree to these Terms; if you do not agree, do not use it.

1. Who can use the Service

You must be at least 18 and able to enter into a binding contract under Indian law. If you use the Service for a business, you confirm that you are authorised to act for that business, and "you" includes the business.

2. Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own or your business's invoicing, according to these Terms. You may install the mobile app on devices you own or control, under the terms of the store you got it from. You may not copy, modify, resell, sublicense, rent or redistribute the Service, or reverse-engineer it except where the law expressly allows you to.

3. Acceptable use

You agree not to:

4. Intellectual property

The Service — its software, design, text, logos and the "Invoice Partner" name — belongs to us and is protected by law. These Terms don't transfer any of it to you. The records you enter belong to you or your company, as set out in the User Agreement. If you send us feedback or suggestions, we may use them without owing you anything.

5. Third-party services

The Service works alongside services we don't control — the GST, e-invoice (IRP) and e-way bill portals, app stores, email and messaging apps you share PDFs through, and our hosting providers. Their own terms apply to your use of them, and we are not responsible for their availability, changes to their formats or rules, or their conduct.

6. Not tax or legal advice

The Service is a record-keeping and document tool. Tax calculations, HSN/SAC suggestions, place-of-supply logic, reports and any other output are provided to help you, not as tax, accounting or legal advice. Check them with a qualified professional where it matters; you remain responsible for your GST compliance.

7. Disclaimer of warranties

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, accuracy and non-infringement. We don't promise that the Service will be uninterrupted or error-free, that its output will be accepted by any government portal, or that it will keep pace with every change in GST rules or portal schemas.

8. Limitation of liability

To the extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill, input tax credit, or for interest, penalties or late fees imposed by any authority, arising from your use of or inability to use the Service — even if we were told they were possible. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim, or ₹1,000 if you paid nothing.

9. Indemnity

You agree to indemnify us against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or the User Agreement, your misuse of the Service, the content you enter into it, or your violation of any law or anyone else's rights.

10. Suspension and termination

You can stop using the Service at any time. We may suspend or end your access, with notice where practical, if you breach these Terms, if we have to for legal or security reasons, or if we discontinue the Service. How your data is handled when an account ends is set out in the User Agreement and the Privacy Policy. Sections 4 and 6–12 survive termination.

11. Changes to these Terms

We may update these Terms. The date at the top shows the latest version; for significant changes we will tell you by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of India. We'll try to resolve any dispute informally first — write to us at the address below. If that doesn't work within 30 days, the courts of India will have exclusive jurisdiction, subject to any consumer-protection rights you cannot give up.

13. Contact
